Vincent Naidu was a Commercial Partner in two well known Auckland law firms - a long established medium-sized CBD firm and a city-fringe boutique commercial & corporate firm. He now spends much of his time advising boards, negotiating and drafting contracts and assisting corporate clients in transactional, compliance, and other legal matters.

Legal Practice

Vincent has advised clients based in New Zealand and internationally, including the Netherlands, Australia, the United States, Singapore, the United Kingdom, South Africa, and the Middle East.

Vincent advises small and medium sized businesses (SMEs) in a wide range of commercial and corporate matters. He acts for corporate clients in acquisitions and disposals, restructuring, corporate financing, joint ventures, and on government funded projects. His advisory work includes assisting clients on issues relating to contractual liabilities and obligations, shareholders' disputes, contract negotiation and formation, and dispute resolution. In 2012, Vincent was corporate counsel to a lead government expert witness at the Royal Commission of Inquiry into the Canterbury Earthquakes.

A large part of Vincent's work involves advising not-for-profit organisations, including health and community trusts, charities, clubs, associations and societies, and religious institutions, many of which operate successful business ventures generating millions of dollars in revenue each year. He actively advises on strategic governance matters, and continues to work with a number of charities that are based internationally.

In the area of corporate governance, Vincent's work involves advice on implementing and maintaining good governance processes, liability issues, effective decision-making, and membership issues. He actively works with clients on legal compliance and procedural matters, developing strategic plans and governance charters. He is often asked to advise boards on matters relating to autonomy, control, conflict of interest, authority to act, and powers of board members.

Seminars, Publications & Community Work

Vincent has written articles for business and legal publications on effective corporate governance, directors' duties, and issues affecting SMEs and not-for-profit organizations in New Zealand. He has presented seminars on behalf of the Auckland District Law Society (ADLS) on Corporate Governance and the Governance of Charities. He was a keynote speaker at the 2013 Symposium on Corporate Governance at Auckland University of Technology, and more recently was invited as a guest lecturer at the Southern Cross University (Queensland) MBA Programme. He has also presented seminars and workshops at the NZ Risk Management Conference, the NZ Institute of Chartered Accountants, the NZ Not for Profit Conference, and to business groups on topics covering governance, trustees' duties, trustee liability issues, directors' duties and liabilities. Vincent is a member of the main legal precedents committee for the legal profession, the ADLS Documents and Forms Committee, where he has served for the past 7 years.

Vincent has been a past director of a national not-for-profit financial services institution and a former trustee for a strategic investment trust for six years. He was until recently a member of the board of governors of Leprosy Mission NZ.

Vincent recently confessed to a long-term coffee addiction. Shamed and disowned by wider members of his tea drinking family he brashly vowed to live a latte-free existence. Unfortunately for his addiction, there are several coffee shops within walking distance to his office where he will happily meet with clients to indulge his habit.
